Responsibilities
- Contractual drafting, reviewing and negotiating; including: Employment agreements, lease contracts, supplier agreements, Non-Disclosure Agreements/Confidentiality Agreements, software licenses, & Data Processing Agreements.
- Using standard contract templates to prepare/agree other agreements (e.g. Service Terms and Conditions, subcontracts, consultancy, agency, and reseller agreement)
- Checking terms of standard agreements against Company policy and terms of standard forms.
- Amendments to/extension of existing agreements.
- Management of renewal/extension dates and related negotiation timetable.
- Advising the organization: (i) Labor law, (ii) on commercial, as well as legal, aspects of transactions and negotiating with counterparty legal, commercial and procurement teams, (iii) Support on permits, licenses, and any other type of authorization required for the operation of the Company.
- Provide day to day legal advice on legal matters related to the operation of the Company.
- Presentation of legal issues to management together with analysis, options and recommendations.
- To render legal advice on labor matters.
- To cooperate with external legal counsel on crucial issues of the Company, as well as to monitor their activities, including when interests of the Company are represented in court.
- Develop and communication of creative solutions and mitigation strategies to key negotiation points;
- Any other ad-hoc duties that may be required.
Tasks
- Primary contact in day to day with different business units of the Company to assist in negotiations, prepare, review, amend all type of contracts such as lease contracts, Non-Disclosure Agreements/Confidentiality Agreements, Software licenses, supplier agreements, & Data Processing Agreements, among others.
- Render legal advice on labor matters.
- Prepare KPIs required by management.
- Prepare and draft amendments to/extension of existing agreements.
- Participate in meetings, render legal advice in negotiations and contracts.
- Legal advice in operational matters related to the day to day of the Company.
